1. Introduction and Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and [LEGAL ENTITY NAME] ("WetinNext", "we", "us", or "our"), regarding your access to and use of the WetinNext website, mobile applications, and online ticketing services (collectively, the "Platform").

By creating an account, browsing events, purchasing tickets, initiating ticket transfers, or listing an event as an organizer on WetinNext, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund & Cancellation Policy. If you do not agree with all of these Terms, you must immediately discontinue use of the Platform.

2. Eligibility and Minimum Age

To register an account, purchase event tickets, or register as an event organizer on WetinNext, you must be at least 18 years of age (or the age of legal majority in your jurisdiction). By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding contract and that all registration information you submit is accurate and truthful.

If you are accessing or using the Platform on behalf of a company, organization, brand, or collective ("Organization"), you represent and warrant that you have full legal authority to bind that entity to these Terms.

3. Account Registration, OAuth & Security

When creating an account, you must provide a valid email address, phone number, display name, and password. Alternatively, you may choose to authenticate via supported third-party OAuth identity providers (Google, Facebook, or Twitter). When you use OAuth, we store your provider name and unique provider account identifier to link your login; we never receive or store your third-party account password.

Passwords are cryptographically hashed using Argon2 prior to storage. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify WetinNext immediately at [email protected] if you suspect any unauthorized access or breach of security.

4. Nature of the Platform

WetinNext provides a marketplace and technology platform that enables event organizers ("Organizers") to publish event listings, manage ticket tiers, and issue cryptographically verifiable digital passes, while enabling attendees ("Buyers" or "Attendees") to discover events, coordinate plans with friends, and purchase verified tickets.

WetinNext acts solely as a commercial facilitator and ticketing intermediary. Unless expressly stated otherwise in writing, WetinNext is not the event producer, promoter, or venue operator, and has no control over or responsibility for event execution, venue security, artist performance, or door management.

5. Ticket Purchasing, Platform Fees & Payment Processing

Pricing and Fees: Ticket prices are established by the event Organizer. WetinNext charges a non-refundable buyer platform service fee of 2.5% + ₦100 per ticket. This fee is clearly itemized and displayed to the buyer in the checkout summary prior to payment confirmation.

Payment Processing: All financial transactions on WetinNext are processed through Paystack, a licensed and PCI-DSS compliant payment service provider. WetinNext does not collect, process, or store raw credit card numbers, debit card numbers, CVVs, or bank authorization PINs. You authorize Paystack to charge your designated payment instrument for the total order amount.

Checkout Hold: When you initiate checkout, the selected ticket inventory is temporarily reserved for up to 10 minutes to allow completion of payment before the hold expires.

6. Ticket Verification, Rotating QR Credentials & Admission

Every ticket issued through WetinNext contains a dynamic, rotating QR credential (hashed server-side) and an accompanying human-readable backup code (formatted as #WN-XXXX). This security mechanism prevents screenshot duplication, counterfeiting, and unauthorized duplication.

Single-Use Admission: Each ticket credential grants a single check-in admission. Once scanned and verified by the organizer at the venue gate, the ticket status changes to checked-in and cannot be reused by any party.

7. Official Ticket Transfers

WetinNext provides a built-in, secure ticket transfer mechanism. A ticket holder may transfer an unused, valid ticket to another user by specifying the recipient's email address.

Upon successful transfer:

• The transferor's original QR code and backup alphanumeric code are permanently retired and invalidated.
• A fresh, unique QR credential and backup code are minted and delivered into the recipient's WetinNext wallet.
• Transfers cannot be reversed once accepted by the recipient.

8. Organizer Terms, Bank Resolution & Payout Schedule

Organizer Responsibilities: Organizers are solely responsible for accurately describing event details, dates, venue locations, door policies, age restrictions, and ticketing tiers. Organizers agree to honor all valid tickets presented through the Platform.

Bank Account Verification: To receive payouts, Organizers must link a valid settlement bank account. Bank details are resolved and verified against bank account records via Paystack to prevent payout routing errors.

Payout Release & Timing: Payouts are computed per event and equal 100% of net ticket revenue (total ticket sales revenue minus platform and payment processing deductions). Payout releases operate on the following automated schedule:

If an event is cancelled, postponed, or subject to credible claims of fraud or non-performance prior to payout settlement, WetinNext reserves the right to hold payout funds to facilitate attendee remedies.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Reselling, scalping, or auctioning tickets outside of the official WetinNext transfer mechanism.
• Attempting to forge, duplicate, screenshot-share, or manipulate rotating QR credentials.
• Creating fictitious, misleading, fraudulent, or unlicensed event listings.
• Using automated scripts, bots, spiders, or scrapers to extract event data or manipulate ticket inventory.
• Harassing, stalking, or infringing upon the privacy of other attendees or plan members.
• Attempting to circumvent payment security controls or initiating fraudulent chargebacks.

10. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. WetinNext does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, in no event shall WetinNext, its directors, employees, affiliates, or agents be liable for any indirect, punitive, incidental, special, or consequential damages arising out of or in connection with event cancellations, venue conditions, personal injury, property damage, or third-party conduct at events.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [GOVERNING LAW / JURISDICTION] (such as the Federal Republic of Nigeria), without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall first be submitted to good-faith mutual consultation.
